Poste Italiane Becomes TIM's Largest Shareholder After Acquiring 15% from Vivendi

ROME, ITALY • Poste Italiane has announced its acquisition of a 15% stake in TIM from Vivendi, making it the telecommunications giant's largest shareholder. This move, valued at €684 million, significantly increases Poste Italiane's total holding in TIM to nearly 25% of ordinary shares.


Rome, Italy, March 29, 2025 – 8:10 PMPoste Italiane has formally announced, through the signing of the relevant sale and purchase agreement, the acquisition from Vivendi of a 15% stake in TIM's ordinary share capital, which corresponds to 10.77% of the telecommunications group's total share capital. Once the transaction is completed – expected by the first half of 2025 – Poste Italiane, already a 9.81% shareholder in TIM (a stake acquired from Cassa Depositi e Prestiti on February 15), will hold a total stake of 24.81% of ordinary shares and 17.81% of TIM's total share capital.

Poste Italiane Now TIM's Top Shareholder

With this strategic move, Poste Italiane becomes the largest shareholder in TIM. "In any case," the company explained in the statement announcing the operation, "Poste Italiane does not intend to acquire a stake exceeding the relevant threshold for mandatory public tender offers."

The value of the transaction amounts to €684 million, equivalent to €0.2975 per share. This sum will be financed through available cash. The acquisition remains subject to notification to the Antitrust Authority, as required by concentration control regulations.
